Terms of Service

1. What We Do

RepUrSocialite is a creator commerce platform. We help content creators launch and run official merchandise stores. We handle design, manufacturing, fulfillment, shipping, returns, customer support, payment processing, and analytics. Creators approve their merchandise before it goes live and earn a share of each sale. Customers ("shoppers") purchase official creator merchandise through creator storefronts.

2. Accounts

• You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.
• You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or make a purchase.
• We may suspend or terminate accounts that violate these Terms, engage in fraud, or abuse the Platform.
• We offer optional two-factor authentication and encourage you to enable it.

3. Creators

If you register as a creator, additional terms apply, which are presented and electronically signed during onboarding (the "Creator Partnership Agreement"). In summary:

• You grant RepUrSocialite a license to use your name, likeness, handles, and brand elements for the purpose of designing, producing, marketing, and selling official merchandise on your behalf.
• You approve products before they are made available for sale.
• You earn 90% of the sale value on your merchandise; RepUrSocialite retains 10% to cover design, production, fulfillment, and promotion. Payouts are made on the schedule and minimum stated in your dashboard.
• You are responsible for ensuring you have the rights to any content, marks, or likeness you provide, and that your merchandise does not infringe third-party rights.
• Either party may end the partnership as described in the Creator Partnership Agreement.

4. Orders, Pricing & Payments

• Prices are displayed on each product and storefront. Applicable shipping and taxes are shown at checkout.
• Payments are processed by Stripe. We do not store your full card details. Your use of Stripe is subject to Stripe's terms and privacy policy.
• By placing an order you authorize us (via Stripe) to charge your chosen payment method for the total shown.
• Promo codes, bundle deals, and discounts are subject to their stated conditions and may be changed or withdrawn at any time.
• We reserve the right to refuse or cancel orders we believe are fraudulent, erroneous, or in breach of these Terms.

5. Shipping, Returns & Refunds

• We ship to the address you provide. Delivery estimates are not guarantees. Risk of loss passes to you on delivery to the carrier.
• You may request a return or report a problem through your account or by contacting support. Eligibility depends on product condition and timing.
• Approved refunds are issued to your original payment method. Limited-edition, personalized, or final-sale items may not be eligible for return.

6. Affiliate & Referral Program

Shoppers may join a creator's affiliate program and earn a commission on qualifying sales they refer, subject to the program terms shown at sign-up. Commissions accrue on completed (paid) orders and are subject to reversal for refunds, chargebacks, fraud, or self-referral. We may modify or discontinue the program at any time.

7. Acceptable Use

You agree not to:

• Use the Platform for any unlawful, infringing, or fraudulent purpose;
• Upload content that is illegal, defamatory, hateful, or infringes intellectual property or privacy rights;
• Attempt to interfere with, probe, or disrupt the Platform, its security, or other users;
• Scrape, harvest, or misuse data, or circumvent rate limits or access controls;
• Impersonate any person or misrepresent your affiliation.

8. Intellectual Property

The Platform, including its software, design, and trademarks, is owned by RepUrSocialite or its licensors. Creator names, marks, and brand elements remain the property of their respective owners. Nothing in these Terms transfers ownership of intellectual property except the limited licenses expressly granted.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any particular sales, traffic, or results will be achieved.

10. Limitation of Liability

To the fullest extent permitted by law, RepUrSocialite and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Platform will not exceed the greater of the amount you paid to us in the three (3) months before the claim, or one hundred U.S. dollars (US$100).

11. Indemnification

You agree to indemnify and hold harmless RepUrSocialite from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your breach of these Terms.

12. Termination

We may suspend or terminate your access at any time for any reason, including breach of these Terms. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located there for any dispute not subject to arbitration or small-claims resolution.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date. Your continued use of the Platform after changes take effect constitutes acceptance.
