Affiliate Marketing Agreement · Version 1.0

These Affiliate Program Terms ("Terms") govern your participation as an affiliate ("Affiliate") promoting merchandise on the RepUrSocialite platform ("Company"). By submitting an application you agree to these Terms as of the date of acceptance.

1. The Program

The Company may provide referral links, branded QR codes, and promo codes that let the Affiliate earn a commission on qualifying merchandise sales they drive. Participation is by approval only, and the Company may approve or decline any applicant at its discretion.

2. Eligibility

The Affiliate must be at least 18 years old and have authority to accept these Terms. The Affiliate is responsible for the accuracy of their account, audience, and payout information.

3. Commissions & Payment

Commissions are earned on qualifying, completed, non-refunded sales attributed to the Affiliate's link or code, at the rate shown in the Affiliate's dashboard. Sales that are refunded, charged back, fraudulent, or self-referred do not qualify and may be reversed. Payouts are subject to any minimum threshold and a holding period covering refund/chargeback windows. The Affiliate is an independent contractor responsible for their own taxes.

4. Approved Promotion

The Affiliate may promote merchandise through their own content, social channels, website, email lists they own, and other lawful, honest methods. The Affiliate must clearly and conspicuously disclose the affiliate relationship as required by the FTC and applicable law (e.g., "#ad" or "affiliate link").

5. Prohibited Conduct

The Affiliate must not: send spam or unsolicited messages; use cookie stuffing, forced clicks, or fraudulent traffic; bid on the Company's or creators' trademarks in paid search or register confusingly similar domains; misrepresent pricing, endorsements, or affiliation; self-refer to earn commissions; or promote through unlawful, deceptive, hateful, or infringing content.

6. Brand & Intellectual Property

The Company grants a limited, revocable, non-exclusive license to use approved links, codes, and marketing assets solely to promote authorized merchandise during participation. The Affiliate may not alter creator or Company marks, imply official endorsement beyond the affiliate relationship, or claim ownership of any platform IP.

7. Term, Suspension & Termination

Either party may end participation at any time. The Company may suspend or terminate an Affiliate and withhold or reverse commissions for any violation of these Terms, fraud, or chargeback abuse. Earned, qualifying commissions outstanding at good-standing termination are paid per the normal schedule.

8. No Guarantee; Disclaimers; Liability

The Company does not guarantee any earnings, traffic, or availability. The program is provided "as is." To the fullest extent permitted by law, the Company is not liable for indirect or consequential damages, and its total liability will not exceed commissions paid to the Affiliate in the prior three (3) months.

9. Indemnification

The Affiliate will indemnify and hold harmless the Company from claims, damages, and reasonable legal fees arising from the Affiliate's promotional methods, content, or breach of these Terms or applicable law.

10. Governing Law & Changes

These Terms are governed by the laws of the State of Delaware, USA. Disputes are resolved by binding individual arbitration, and the Affiliate waives any right to a jury trial or class action, to the extent permitted by law. The Company may update these Terms; continued participation constitutes acceptance of the updated version.

11. Electronic Acceptance

Submitting the application with the acceptance box checked constitutes a valid electronic signature. The Company records the applicant's name, date and time, the terms version, a content fingerprint, and the originating IP address as evidence of acceptance.
